Opening a Business Bank Account in South Africa

What FICA actually requires, which CIPC documents the bank wants, and why your ownership story has to match your CIPC filing - plus realistic timelines.

A registered company is a separate legal person from you, and its money has to live somewhere separate too. That is the real reason for a business account: not tidiness, but the fact that once you mix company money with your own, you have made your accountant's job expensive and your own tax position harder to defend.

The account itself is straightforward. What catches people out is FICA - the verification a bank must complete before it can open anything - and the fact that the bank checks your paperwork against what CIPC already holds.

Your CIPC documents are the foundation

The registration certificate (CoR14.3), CoR14.1 and the Memorandum of Incorporation (CoR15.1A). Have them as clean PDFs before you start.

Every director and signatory gets verified

ID and proof of address for each. Banks also look through the ownership chain at beneficial owners, with 5% a common threshold.

Your bank file and your CIPC filing must agree

The ownership story you tell the bank should match your beneficial-ownership filing. Banks cross-check, and a mismatch means another round of questions.

Proof of address goes stale

Documents older than three months are routinely rejected. Print them the week you apply, not the month before.

A utility bill, municipal account or bank statement in the person's name. If you live somewhere billed in someone else's name, ask the bank what it accepts BEFORE the appointment - this is the single most common reason people are sent away.

Who ultimately owns the company and in what proportion. If a holding company owns shares, the bank will want to see through it to the people behind it.

Choose a bank on service, not on the opening fee

You will deal with this account every week for years. Branch access, how quickly a payment clears, and whether the business banking line answers matter far more than the monthly fee - and we will not quote fees here, because they change and differ per package.

Apply in branch if you want it done fastest

Practitioners report one to three working days for a complete file presented in person, against one to two weeks online. Online is more convenient and slower; pick deliberately.

Expect FICA verification to be the long pole

The bank is not checking your business plan, it is confirming identities and ownership. Everything you can do to make that unambiguous - clean documents, a clear diagram, addresses that match - shortens it.

If a director is foreign, plan for weeks not days

Four to twelve weeks is normal where foreign directors or multi-jurisdiction ownership are involved, because documents may need apostilling and the chain takes longer to verify. Start it before you need the account, not after.

If you are a sole proprietor

A sole proprietor is not a separate legal person, so there is no legal wall between your money and the business's. That means a separate account is not compulsory the way it is for a company - and it is still worth opening one.

Do not run company money through a personal account
For a registered company this is not a style preference. The company is a separate person in law, and mixing its money with yours undermines exactly the separation that makes the structure worth having.

What documents does the bank actually need?

For a (Pty) Ltd: your CIPC registration documents (CoR14.3, CoR14.1 and the CoR15.1A Memorandum of Incorporation), ID and proof of address for every director and signatory, and your beneficial-ownership position. Proof of address is usually rejected if older than three months, so print those the week you apply.

How long does it take?

With a complete file presented in a branch, one to three working days is commonly reported; online applications tend to run one to two weeks. Where a director is foreign or ownership runs through multiple jurisdictions, four to twelve weeks is normal because documents may need apostilling and the ownership chain takes longer to verify.

Why does the bank want to know who owns the company?

FICA requires it. The bank must identify beneficial owners - the people who ultimately own or control the company - and will look through a corporate shareholder to the individuals behind it, commonly at a 5% threshold. Your answer should match the beneficial-ownership filing your company makes at CIPC, because banks increasingly compare the two.

Do I need a business account as a sole proprietor?

Not as a legal requirement, because a sole proprietor is not a separate legal person. It is still worth having: separating business from personal money is what makes your tax position defensible without reconstructing a year of mixed statements, and some buyers expect to pay an account in the business's name.
